Terms and Conditions
Effective Date: 24 April 2025
These Terms and Conditions ("Terms") govern the use of this website and the delivery of services by The Vesta Club PTY LTD ("The Vesta Club”, we", "us", or "our"). By accessing this site or engaging in any of our services, you agree to these Terms in full. If you do not agree with these Terms, you must not use this site or engage our services.
1. Our Services
We offer the following services:
1.1 Leadership Workshops
Facilitation sessions designed to support leadership teams in startups and scaleups using practical, proven frameworks.
1.2 Coaching Programs
Individual and group-based executive coaching designed to support high-growth leadership development.
1.3 Vesta DD (Leadership Due Diligence)
A due diligence service for investors that evaluates leadership team cohesion, cultural health, and scale-readiness.
1.4 Consulting
Providing project-specific consulting services in relation to leadership development as per specific client needs.
All service details, including scope, deliverables, timing, and fees, will be confirmed in a formal proposal or agreement.
2. Website Use
By using our website, you agree not to copy, reproduce, or misuse any content, including brand materials, copy, or downloadable resources, without prior written consent. This website provides general information only and does not constitute professional advice. All downloadable materials, forms, and communications submitted through the website are governed by these Terms.
3. Engagement Terms & Payment
3.1 Fees & Invoicing
Invoices are issued upon engagement and are payable within 7 calendar days. Fees are set out in your proposal or engagement letter and are exclusive of GST unless stated otherwise.
3.2 Payment Methods & Currency
All pricing is listed and invoiced in Australian Dollars (AUD), unless otherwise agreed in writing. Payments must be made via bank transfer or another method specified in your invoice. Payment details will be included on each invoice.
3.3 Invoice Disputes & Acceptance
Any concerns or disputes regarding invoiced amounts must be raised in writing within 5 business days of the invoice date. After this time, the invoice will be deemed accepted.
3.4 Late Payment Terms
Late payments may result in a pause or cessation of services. We reserve the right to charge interest on overdue invoices at a rate of 2% per month, accruing daily until payment is received.
3.5 Deposits & Prepayments
Certain engagements, including workshops or large-scale projects, may require a deposit before work commences. This will be outlined in your proposal or engagement letter.
3.6 Multi-Quarter or Bundled Services
Coaching and multi-session engagements are sold as complete packages. Fees are not prorated or refunded for unused sessions unless otherwise agreed in writing.
3.7 Program Renewals & Cancellations
Unless stated otherwise, coaching programs automatically renew for the same duration of the initial term. If you do not wish to renew, written notice must be provided at least 30 days prior to the renewal date.
3.8 Client Responsibilities
Clients are responsible for ensuring timely access to participants, required materials, and relevant leadership team members. Delays caused by unavailable stakeholders or insufficient preparation may affect delivery or timelines, but do not reduce fee obligations.
3.9 Rescheduling & Commitment

Workshops: Cancellations within 5 business days of the scheduled start may incur a 50% cancellation fee.

Coaching: Coaching sessions may be rescheduled with 24 hours' notice. Missed sessions are forfeited. Once enrolled in a coaching program with The Vesta Club, you agree to the full duration of the coaching term (e.g., 6 or 12 months commitment). Early cancellation does not release you from the financial commitment of the term, unless otherwise agreed in writing.

Vesta DD (Leadership Due Diligence): Cancellations within 5 business days of the agreed commencement will incur a 50% fee. Once work has commenced, the full fee is due, regardless of delivery or change in investment decision.
3.10 Force Majeure
We shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, pandemics, illness, government restrictions, or failure of suppliers, systems, or technology providers.
4. Confidentiality, IP & Use of Deliverables
4.1 Confidentiality
We respect the confidentiality of all client engagements. Any sensitive or proprietary information shared during the course of a service engagement will be kept confidential. For Vesta DD engagements, all interviews and insights are anonymised and reported thematically. We do not share personal or commercial data with any third party without your written permission, except as required by law.
4.2 Intellectual Property
All frameworks, templates, written materials, session content, coaching conversations, and reports shared or delivered by The Vesta Club remain our intellectual property unless otherwise agreed. You are granted a limited, non-transferable licence to use these for your internal business purposes only.
4.3 Use of Deliverables
Deliverables from Workshops and Coaching Programs are for internal use by the client only and must not be distributed externally without consent. Vesta DD reports are intended strictly for internal investment diligence. They may not be used as the basis for legal action, HR decisions, or publicly disclosed.
5. Vesta DD (Leadership Due Diligence) Specific Terms
5.1 Purpose & Scope
Vesta DD supports investors by assessing startup and scaleup leadership team effectiveness, using anonymised interviews, frameworks, and diagnostic insight.
5.2 Process, Access & Participation
Deliverables typically include anonymised thematic reports with insights on team dynamics, alignment, risks, and opportunities. Myers-Briggs Type Indicator (MBTI) assessments might be conducted and those results will be shared without being anonymised. The timeframe is dependent on engagement path, typically 1–4 weeks. The client (investor) is responsible for informing the leadership team and securing participation.
5.3 Founder and Leadership Team Consent
Where relevant, clients are expected to secure consent from participating leaders. If access is restricted after commencement, the service will be delivered to the best extent possible without refund or pro-rata adjustment.
5.4 Confidentiality & Assessment Usage
All insights are confidential and must not be disclosed publicly or used for legal, HR, or compliance proceedings. Vesta DD is a strategic insight tool, not a formal compliance audit or psychological assessment.
5.5 Deliverables, Sharing & Limitations
Deliverables are provided only to the commissioning investor or client and may not be republished, shared externally, or altered without written permission. Some investors may choose to share a high-level version or key themes with the founder to support post-deal alignment, and this will be agreed upon in our service agreement.
6. Privacy
We respect your privacy and process all personal data in accordance with our Privacy Policy.
7. Limitation of Liability
All services provided are advisory in nature. The Vesta Club makes no guarantees regarding specific business or investment outcomes. We shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website.
8. Amendments to Terms
We reserve the right to update or amend these Terms at any time. Material changes will be published on our website and noted with a revised effective date. Continued use of our services or website constitutes acceptance of the updated Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
